Announcement for the participation in capital increase of Magnet Systems, Inc. by executing a capital injection into H.T.C.(B.V.I.) Corp.

(1) HTC’s capital injection into H.T.C.(B.V.I.) Corp.
(2) H.T.C.(B.V.I.) Corp. acquires series B preferred shares of Magnet Systems, Inc.
Dividend yield: An annual 8% per share dividend (Dividends shall not be cumulative. The distribution of dividends is subject to the approval of Board of Directors.)

(1)The transaction price was negotiated by both parties involved and Moores Rowland CPA issued opinion regarding the reasonableness of the transaction price.
(2)According to HTC’s Procedures for the Acquisition or Disposal of Assets, the transaction was reported to the Chairman of the Board to review and approve with other three directors, including at least one independent director, and shall be reported to the board of directors after its execution.

(1)The cumulative shareholding of H.T.C.(B.V.I.) Corp. (including the current trade) owned by HTC Corp. is 1,221,451,759.7 shares and amount is USD 122,145,175.97. Shareholding percentage is 100%. There is no restriction of rights.
(2)The cumulative shareholding of Magnet Systems, Inc. (including the current trade) owned by H.T.C.(B.V.I.) Corp. is 5,560,271 series B preferred shares and amount is USD 35,418,370.25. Shareholding percentage is 17.10%. There is no restriction of rights.
