Announcement for reorganization of Company’s overseas subsidiaries investment structure
1.Name and nature of the subject matter (if preferred shares, the terms and conditions of issuance shall also be indicated, e.g.dividend yield):
(1)H.T.C.(B.V.I.) distributed its note receivable of HTC Holding Cooperatief U.A., note receivable of HTC Netherlands B.V. and note receivable of HTC HK, Ltd. to HTC Corp. as a repayment of capital.
(2)HTC Corp. increased its capital in High Tech Computer Asia Pacific Pte. Ltd.
(3)High Tech Computer Asia Pacific Pte. Ltd. increased its capital in HTC Holding Cooperatief U.A.

(3)HTC Holding Cooperatief U.A.:accumulated total monetary amount:EUR$20,269,552(including the share capital increase of EUR$1,337,635 on Sep. 30, 2010)

1.(1)H.T.C.(B.V.I.) Corp. distributed its note receivable of HTC Holding Cooperatief U.A., note receivable of HTC Netherlands B.V. and note receivable of HTC HK, Ltd. to HTC Corp. as a repayment of capital on Nov. 15, 2010. for reorganization of HTC Corp’s overseas subsidiaries’investment structure.
(2)HTC Corp. Contributed its note receivable of HTC Holding Cooperatief U.A., note receivable of HTC Netherlands B.V. and note receivable of HTC HK, Ltd. to the capital of High Tech Computer Asia Pacific Pte. Ltd. on Nov. 15, 2010 for reorganization of HTC Corp’s overseas subsidiaries’investment structure.
(3)On Sep. 30, 2010, High Tech Computer Asia Pacific Pte. Ltd. contributed its note receivable of HTC Netherlands B.V. to membership capital account of HTC Holding Cooperatief U.A. for reorganization of HTC Corp’s overseas subsidiaries’investment structure. High Tech Computer Asia Pacific Pte. Ltd. contributed its note receivable of HTC Holding Cooperatief U.A. and note receivable of HTC Netherlands B.V. to membership capital account of HTC Holding Cooperatief U.A. on Nov. 15, 2010 for reorganization of HTC Corp's overseas subsidiaries’investment structure.

10.The manner in which the current transaction was decided, the reference basis for the decision on price, and the decision-making department:
1.On April 30, 2009 the Board of Director has resolved that the chairperson has been authorized with the power to make decisions concerning the details of reorganization of Company’s overseas subsidiaries’ investment structure and the implementation of required action items and report back to the Board for ratification.
2.The reference bais for the decision on price of note receivable mentioned above: according to the principal sum of note receivable and CPA opinion regarding the reasonableness of the transaction price.

11.Current cumulative volume, amount, and shareholding percentage of holdings of the security being traded (including the current trade) and status of any restriction of rights (e.g.pledges):
The cumulative amount and shareholding of H.T.C.(B.V.I.) Corp. (including the current trade) owned by  HTC Corp. is 225,018,090 shares and NTD$1,073,972,334. The shareholding percentage is 100%. There is no restriction of rights.
The cumulative amount and shareholding of High Tech Computer Asia Pacifc Pte. Ltd. (including the current trade) owned by HTC Corp. is 206,341,808 shares and NTD$7,827,816,061. The shareholding percentage is 100%. There is no restriction of rights.
The cumulative shareholding of HTC Holding Cooperatief U.A. (including the current trade) owned by High Tech Computer Asia Pacific Pte. Ltd. is SG$109,940,219. The shareholding percentage is 99%. There is no restriction of rights.
